DESIGN SERVICES AGREEMENT

This Agreement is made between Party A: BUSFX_ (Sooraj R, 8848909979) — Designer, and the Client. By proceeding with payment, the Client agrees to all terms.

SCOPE OF SERVICES

The Designer agrees to provide professional design services, which may include:

Bus Livery Design
Logo Design
Complete Branding Package

Deliverables include: Initial design concepts, structured revision rounds, final print-ready high-resolution files, source/editable files (only if included in package).

⚠ Any work outside the agreed scope (extra concepts, additional formats, reworks, etc.) will be treated as an additional service and charged separately.

PROJECT TIMELINE

Work will begin only after advance payment is received
Timeline will be communicated based on project complexity

Timeline may extend due to:

Delay in client feedback or approvals
Change in design direction
Additional revision requests

⚠ The Designer is not responsible for delays caused by the Client.

URGENT / PRIORITY PROJECTS

Projects requiring faster delivery will be treated as Urgent Projects.

Additional priority charges may apply
Acceptance depends on Designer's availability
Client must provide quick approvals and responses

⚠ Any delay from the Client side will automatically extend the timeline, even for urgent work.
⚠ Urgent projects do not include unlimited revisions or instant changes.

PAYMENT TERMS

Payment Structure:

40% Advance — Required to start the project
60% Final Payment — Before delivery of final files

Payment will be made via Razorpay payment link.

⚠ IMPORTANT: Final mockups, print files, and source files will NOT be shared until full payment is completed.

CANCELLATION & REFUND POLICY

5.1 Cancellation After Advance Payment

If the Client cancels after making payment:

10% of the total project fee will be retained
Remaining amount from the advance will be refunded

(Note: 10% is calculated on total project value, not the advance amount)

5.2 Cancellation at Mid / Final Stage

If the project has reached midway or near final stage:

The 40% advance becomes non-refundable
No refund will be issued

Ownership Condition: Any concepts, drafts, or designs shared up to that stage remain the exclusive property of the Designer. The Client has no rights to use, reproduce, or share those designs.

Designer Rights: The Designer reserves the right to reuse, modify, or repurpose those designs.

5.3 If Designer Cannot Continue

Full amount paid will be refunded

REVISION POLICY

This project includes limited structured revision rounds, as agreed at the start.

REVISIONS INCLUDE

Colour adjustments
Typography changes
Minor layout refinements
Small detailing corrections

NOT CONSIDERED REVISIONS

Change of design concept or direction
Complete redesign or new theme
Major structural/layout changes
Requests after final approval

⚠ Delays in providing feedback may affect the project timeline
⚠ Additional revisions beyond agreed limits will be charged separately

INTELLECTUAL PROPERTY & DESIGN OWNERSHIP

Only the final approved design becomes the Client's property after full payment
Design credit remains with BUSFX_ (Sooraj R)

UNUSED CONCEPTS

All unselected designs remain the exclusive property of the Designer
The Designer may reuse, modify, or resell unused concepts

STRICT PROTECTION

Final selected design will never be reused or shared
If the Client wants rights to unused concepts → additional payment required per design

CONFIDENTIALITY & DESIGN PROTECTION

Both parties agree to maintain strict confidentiality regarding: Design concepts and previews, Business information and branding direction, Pricing and project details.

Client Responsibilities:

Do NOT share design previews before finalisation
Do NOT forward designs for copying or modification

⚠ IMPORTANT LIABILITY CLAUSE: If any unused design is leaked, shared, or found in use elsewhere — The Client will be fully liable to compensate for that design. Legal or financial action may be taken if required.

LIMITATION OF LIABILITY

The Designer shall not be held responsible for:

Printing errors
Paint application differences
Fabrication or execution issues
Material quality or vendor mistakes

Client Responsibilities: Verify all design details before production. Ensure proper execution by printers/fabricators.

The Designer's liability is limited strictly to the design service only, not execution.

AGREEMENT ACKNOWLEDGEMENT

By proceeding with advance payment, the Client confirms they have read, understood, and agreed to all terms in this document.

Before submitting, please read our Design Services Agreement. By submitting this form you are entering a working relationship with BusFX and agree to all terms below.

BUSFX_ DESIGN SERVICES AGREEMENT 01 — SCOPE OF SERVICES
Services include Bus Livery Design, Logo Design, Branding, and related creative work. Any work beyond the agreed scope is a separate service and charged separately. No exceptions.

02 — PROJECT TIMELINE
Work begins only after advance payment. Timeline is communicated after brief review. Delays caused by client feedback, approvals, or direction changes automatically extend the timeline. The Designer is not responsible for client-caused delays.

03 — SCOPE FREEZE — VERY IMPORTANT ⚠
Once your project starts, the scope is locked to what was agreed. Adding new requirements mid-project (extra bus sides, new formats, additional concepts, reference changes after work begins) is NOT a revision — it is a new project with a new quote. This is strictly enforced. Submit your complete requirements upfront.

04 — DESIGNER'S CREATIVE AUTHORITY ⚠
You are hiring a professional. The designer's decisions on typography, colour, layout, and composition are made with expertise and your brand's best interest in mind. Every design delivered has been thought through carefully before it reaches you. Vague personal preferences ("I don't like this colour" without a reason) will not override professional design judgment. Feedback must be specific and constructive. The designer will not compromise professional standards under client pressure.

05 — REVISION POLICY
Included revisions cover: colour adjustments, typography tweaks, minor layout changes, small corrections. NOT covered: change of concept, complete redesign, structural changes, or requests after final approval. Extra revisions are billed separately at a fixed rate.

06 — MID-PROJECT SCOPE CHANGES ⚠
Changing the direction, theme, concept, or reference images after work has started is not a revision — it restarts the project. Work stops, completed work is billed, and a new quote is issued. This includes "I changed my mind about the style" or "Can we try a completely different look."

07 — PAYMENT TERMS
40% advance to start · 60% before final delivery. Final files, print-ready artwork, and source files are NOT shared until full payment is received. No exceptions under any circumstances.

08 — CANCELLATION & REFUND
After advance payment: 10% of total project value is retained, remainder of advance refunded. At mid or final stage: full advance is non-refundable. All designs created to that point remain the exclusive property of the Designer.

09 — INTELLECTUAL PROPERTY
Final approved design becomes your property after full payment. All unused concepts, drafts, and ideas remain exclusively with BUSFX_. The Designer may reuse, modify, or resell unused concepts. Design credit remains with BUSFX_ (Sooraj R).

10 — CONFIDENTIALITY & DESIGN PROTECTION
Do not share design previews, concepts, or drafts before finalisation. Do not forward designs for copying or modification. If any unused design is found in use elsewhere, the client is fully liable for compensation. Legal action will follow.

11 — TRUST IN THE DESIGNER'S WORK ⚠
BUSFX_ is a professional studio. Poor quality work affects our reputation as much as yours — this is the built-in guarantee that every deliverable is carefully considered. We do not deliver work we are not satisfied with. Clients are expected to approach the process with trust, engage with specific feedback, and not impose personal taste overrides on professional decisions.

12 — LIMITATION OF LIABILITY
The Designer is not responsible for printing errors, paint application differences, fabrication issues, material quality, or vendor mistakes. Verify all design details before sending to production.

By submitting this brief with OTP verification, you confirm you have READ and AGREED to ALL terms above. This constitutes a binding agreement between you and BUSFX_ (Sooraj R).
